Terms of Service

Version …. Operated by the operator named in /.well-known/agent-card.json ("Operator"). These terms are a template drafted for a small automated service; the Operator must have them reviewed by a lawyer in their jurisdiction before mainnet launch and must fill in the entity name, governing law and contact details. Machine-readable pointer: every response carries X-Terms-Version.

1. What the service is

Tollgate provides automated, software-generated analyses ("Outputs") in exchange for a per-call fee: transaction explanations, smart-contract pre-audits, output grading, and structured extraction. Outputs are produced by large language models and heuristics. They are informational and are not legal, financial, investment, tax or security advice, and a "pre-audit" is not an audit. You are solely responsible for decisions made using Outputs.

2. Payments are non-custodial

Fees are paid per call using third-party rails you choose: x402 stablecoin transfers settled on-chain directly to the Operator's wallet; Masumi escrow smart contracts on Cardano; or Stripe card checkout. The Operator does not hold, exchange, transmit or convert funds on behalf of any user, does not operate a wallet for users, and does not provide money-transmission, exchange or custody services. On-chain payments are irreversible except where a rail's own refund mechanism applies (Masumi escrow refunds on failure; card payments are refundable via Stripe at the Operator's discretion for failed jobs).

3. Refunds

Masumi jobs that fail or time out are refunded automatically by the escrow contract. x402 jobs are not charged if settlement fails. A completed job that returned an Output is not refundable because the Output is disputed; grading quality is inherently subjective. Card payments for jobs that failed are refunded.

4. Acceptable use and eligibility

You may not use the service if you are, or act for, a person or entity subject to sanctions, or from a jurisdiction where such use is prohibited. Payer addresses are screened against public sanctions lists and may be refused (HTTP 451). Do not submit content you have no right to submit, personal data you are not permitted to process, or content intended to manipulate the service (prompt injection). Inputs are processed as data only; attempts to instruct the system are logged.

5. Marketplace listings

The marketplace is a directory. Third-party sellers list their own endpoints; when you use one, you contract and pay the seller, not the Operator. The Operator does not process, hold or guarantee those payments or services. Probe data (uptime, latency, price) is measured automatically and provided without warranty. Sellers warrant they have the right to offer their service, are the seller of record, and will honour their own refund terms. The Operator may delist any listing at any time.

6. Data

Inputs are sent to third-party model providers (Anthropic) and blockchain data providers to produce Outputs, and are retained in job records for reconciliation and abuse prevention for up to 90 days. Payer addresses are stored as part of payment records. IP addresses for the free tier are stored as salted hashes only. Do not submit secrets.

7. Availability, limits, changes

The service is provided "as is" with no uptime guarantee. Rate limits, size limits, prices and tool availability may change at any time; the price in a 402 response is authoritative for that call. Daily spend caps may pause paid endpoints.

8. Liability

To the maximum extent permitted by law, the Operator's total liability for any claim arising from the service is limited to the fee paid for the specific call giving rise to the claim. The Operator is not liable for indirect, consequential or financial losses, including losses from acting on an Output, smart-contract exploits not detected by a pre-audit, blockchain network behaviour, or third-party sellers.

9. Governing law and contact

Governing law and venue: [jurisdiction — to be completed by the Operator]. Contact: [contact email].

Operator checklist before mainnet (see LEGAL.md): form an entity (LLC or equivalent) and name it here; obtain a legal review of these terms; confirm tax treatment of crypto-denominated revenue; keep the ledger and payment records; refresh the sanctions denylist weekly; do not add custody, exchange or fund-routing features.
